Terms of Service

These Terms of Service ("Terms") govern your use of SONRYZE Amplify ("Amplify" or the "Service"), a software-as-a-service platform for planning, creating and publishing music promotion campaigns. The Service is provided by Avyrox Solutions LLC, a Delaware limited liability company operating from Mentor, Ohio, United States ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you use Amplify on behalf of a company, label or other organization, you confirm you have authority to bind it, and "you" includes that organization.

• You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract.
• You must provide accurate information and keep your sign-in details secure. You are responsible for activity under your account.
• Tell us promptly at socials@sonryzerecords.com if you suspect unauthorized access.

Content in Amplify belongs to a workspace. The person who creates a workspace is its owner. Owners and admins can manage members, connect and disconnect social accounts, enable automatic publishing, and confirm media rights. Members can work on artists, campaigns and drafts. The workspace owner is responsible for who is given access and for the actions taken by its members.

You agree not to:

• Upload or publish content you do not have the rights to, or that is unlawful, defamatory, harassing, hateful, sexually exploitative, or infringes anyone's rights.
• Use Amplify for spam, deceptive engagement, fake accounts, artificial streams or followers, or to impersonate others.
• Connect social accounts you are not authorized to manage, or violate the terms or policies of any connected platform.
• Attempt to access other workspaces' data, bypass plan limits or security controls, or probe, scrape or disrupt the Service.
• Reverse engineer the Service or use it to build a competing product, except as allowed by law.
• Use AI features to create content that is misleading about real people, events, chart positions or performance.

Amplify offers subscription plans with different limits, such as the number of artists, campaigns, connected social accounts and monthly AI generations. Limits are enforced automatically by the Service.

Online payment is not yet available. Plans are currently assigned by us, and no card payments are collected through Amplify. Before paid self-service subscriptions launch, we will publish the prices, billing cycle, renewal and cancellation terms, and these Terms will be updated. We do not currently offer an automatic refund policy.

For legal review: Billing, renewal, cancellation and refund terms must be finalized before payments go live.

Amplify can generate campaign strategies, captions, hooks, hashtags and video concepts using third-party AI models. AI output is a draft that may be inaccurate, repetitive or unsuitable. You are responsible for reviewing, editing and approving any content before it is published, including its accuracy, its compliance with law and platform rules, and that it does not infringe others' rights. We do not guarantee that AI output is unique or protectable.

You keep all ownership of the music, images, videos, artwork, text and other material you upload or create in Amplify ("Your Content"). You grant Avyrox Solutions LLC a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, display and transmit Your Content only as needed to provide the Service — for example, to generate drafts you request and to publish posts you approve to accounts you connect. This licence ends when Your Content is deleted from the Service, except for copies already published at your direction or held in routine backups.

You confirm that you own or have all necessary rights, licences, consents and releases for Your Content, including copyright in recordings and compositions, artwork, likeness and publicity rights of anyone shown, and any distribution or synchronization rights needed to post it. Amplify requires an owner or admin to confirm media rights before media can be published, but that confirmation is your responsibility. We may remove content in response to valid infringement notices sent to socials@sonryzerecords.com.

Amplify connects to third-party services such as Bluesky and, when available, Facebook, Instagram, Threads and others. Those services are operated independently under their own terms and policies, which you must follow. Integrations depend on the platforms' approval and continued availability, and may change, be limited or stop working without notice. Only Bluesky publishing is currently operational. Meta integrations (Facebook Pages, Instagram and Threads) are planned and not yet available. We are not responsible for third-party platforms or for their actions, including removing content or suspending accounts.

• By connecting a social account, you confirm you are authorized to publish on its behalf and you authorize Amplify to do so for content approved in your workspace.
• Automatic publishing is off by default. A workspace owner or admin must explicitly enable it.
• Only approved posts are published. Each post is re-checked just before publishing and may be held back if it no longer meets the requirements.
• Scheduled times are targets. Posts may be delayed, and a failed post may need your review before it is retried, to avoid duplicates.
• You can disconnect an account at any time. Disconnecting deletes its stored credentials and cancels its queued posts. Content already published remains on the platform.

We work to keep Amplify available but do not guarantee uninterrupted or error-free service, or any specific uptime. We may perform maintenance, and we may add, change or remove features. Features marked "Coming Soon" are not yet available and may change. We will try to give notice of material changes that reduce functionality.

You may stop using Amplify at any time and may request deletion of your account or workspace by emailing socials@sonryzerecords.com. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, misuse connected platforms, or if required by law or a platform. Where reasonable, we will give notice. Sections that by their nature should survive termination will survive.

Our Privacy Policy explains how we collect, use, protect and delete information, including connected social account data. By using Amplify you acknowledge that policy.

The Service, including its software, design, and the SONRYZE Amplify name and logos, belongs to Avyrox Solutions LLC and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. If you send us feedback, we may use it without obligation to you.

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise any streams, followers, engagement, reach or commercial results.

To the fullest extent permitted by law, Avyrox Solutions LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the 12 months before the claim or USD $100.

You will defend and indemnify Avyrox Solutions LLC against third-party claims arising from Your Content, content you publish through Amplify, your use of connected platforms, or your breach of these Terms or applicable law.

These Terms are proposed to be governed by the laws of the State of Ohio, United States, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service is proposed to be brought exclusively in the state or federal courts located in Lake County, Ohio, and you and Avyrox Solutions LLC consent to the personal jurisdiction of those courts. Before filing any claim, please contact us at socials@sonryzerecords.com so we can try to resolve the concern informally.

For legal review: Governing law (Ohio) and venue (Lake County, Ohio) are proposed and must be confirmed by counsel before publication. Avyrox Solutions LLC is a Delaware LLC operating from Mentor, Ohio; counsel should confirm Ohio (rather than Delaware) is the intended choice. No arbitration clause or class-action waiver is included; adding either requires separate approval.

We may update these Terms. We will post the new version here with a new effective date and, for material changes, notify account holders by email or in the app. Continuing to use the Service after changes take effect means you accept them.
